Terms of Service

Cancellation and refunds

For recurring plans, cancel before your renewal date in Settings → Billing → Manage subscription. Your access continues through the paid period. Cancellation stops future renewals; it does not refund a payment already made. Monthly and annual fees are non-refundable for partial periods or non-use, except where required by law or an explicit offer.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Costli ("we," "us," or "Company") governing your access to and use of the Costli food cost management platform, including any associated websites, applications, and services (collectively, the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Costli is a software-as-a-service (SaaS) platform designed to help food businesses manage costs, track profitability, and optimize operations. The Service includes:

  • Ingredient Management: Track ingredient costs, prices, and suppliers
  • Recipe Costing: Create recipes with automatic cost calculations
  • Product Pricing: Build products with target profit margins
  • Inventory Tracking: Monitor stock levels and generate shopping lists
  • POS Integrations: Connect with commerce systems (Square, Shopify, PayPal, Toast, Clover, Lightspeed) to sync sales data
  • Analytics & Reporting: View business metrics, profit margins, and performance insights
  • SOP Generation: Create and export Standard Operating Procedures for recipes
  • Brand Playbook: Document your brand identity and business strategy
  • Expense Tracking: Record and categorize business expenses
  • Labor Management: Track staff positions, rates, and labor costs

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing:

  • A valid email address
  • Your name
  • A secure password
  • Business information during onboarding

You must provide accurate, current, and complete information. Providing false information constitutes a breach of these Terms and may result in account termination.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. The Service is intended for business use by food industry professionals.

4. Subscription Plans and Payment

4.1 Plans and prices

Costli currently offers the same core access with monthly or annual billing. There is no current free plan or trial. Standard website offers are:

  • Annual: $159 USD per year, billed in advance and renewing every year unless canceled.
  • Monthly: $19 USD per month, billed in advance and renewing every month unless canceled.

Review the price, currency, taxes, billing interval, and any promotional terms shown at checkout before paying. A founding-member price lock applies for the first year when stated in your offer; it is not a lifetime price guarantee. Existing legacy access, externally purchased plans, and special offers follow their stated terms. Your Billing page identifies your access and billing provider.

4.2 Billing and payment

For recurring subscriptions, you authorize the billing provider to charge your payment method in advance for each monthly or annual period until you cancel. Website checkout payments are processed by Stripe; Costli does not store full payment-card details. Applicable taxes are shown at checkout. An annual subscription is one annual payment, not twelve monthly installments.

4.3 Renewal and cancellation

Cancel a recurring subscription before the next renewal date to stop the next subscription charge. In Costli, open Settings → Billing, choose Manage subscription when available, and complete the cancellation in the billing portal. Check the confirmation and the date your paid access ends. You retain access through the current paid period after an end-of-period cancellation.

If Billing identifies an external provider or a manually renewed plan, follow its instructions; a manually renewed plan does not automatically charge through Costli. If you cannot sign in, find the cancellation option, or complete cancellation, contact support or email customersupport@costli.ai for help. Include your account email, but never your password or full card details.

Cancellation and a refund are separate actions. Canceling does not automatically reverse a charge already made. Simply not using Costli does not cancel a recurring subscription. Export any data you need before your access ends. Cancellation does not itself request account or data deletion; see our Privacy Policy for those requests.

4.4 Failed payments and access

If a payment fails, the billing provider may retry the charge or send a notice. Check Billing and update your payment method if needed. Unpaid subscriptions may have access limited, suspended, or terminated. A failed payment does not count as a cancellation request. Contact support if the payment status or access shown in Costli appears incorrect.

4.5 Price changes

We will give at least 30 days’ notice of subscription price changes. A change takes effect at a renewal after the notice period and any applicable price-lock period have ended. You may cancel before that renewal if you do not wish to continue at the new price.

4.6 Refunds

Monthly and annual fees are non-refundable once charged, except where a refund is required by applicable law or expressly provided in your offer. We do not provide automatic prorated refunds or credits for partial billing periods, unused time, underuse, or a change of mind. Canceling an annual plan does not convert it to monthly billing or automatically refund the remaining months.

If you believe a charge is duplicated, incorrect, unauthorized, or eligible for an exception, contact support with your account email, charge date, and amount so we can investigate. These terms do not exclude any refund or cancellation right that applicable law gives you.

4.7 Billing questions and payment disputes

Please contact support promptly about a billing issue so we can help identify the charge or correct an error. Contacting us first is encouraged, not a condition of exercising your rights with your bank or payment provider. Nothing in these Terms waives those rights or extends a dispute deadline. Access may be limited if the associated subscription payment is unpaid or reversed; contact us if that affects you.

5. Data Ownership and Intellectual Property

5.1 Your Data

You retain all ownership rights to your data. This includes all ingredients, recipes, products, sales data, customer information, and any other content you upload, create, or store through the Service ("Your Content").

By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely to provide and improve the Service. This license terminates when you delete your account or remove Your Content.

5.2 Our Intellectual Property

The Service, including its design, features, code, documentation, and all related intellectual property, is owned by Costli and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute the Service or any part thereof
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels
  • Use our trademarks or branding without written permission

5.3 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without compensation or attribution to you.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's infrastructure or security
  • Upload malicious code, viruses, or harmful content
  • Scrape, harvest, or collect data from the Service without permission
  • Use automated systems (bots, crawlers) to access the Service
  • Impersonate another person or entity
  • Share account credentials with unauthorized parties
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Use the Service in a way that could damage, disable, or impair it

Violation of these restrictions may result in immediate account suspension or termination.

7. Third-Party Integrations

7.1 POS and External Services

The Service allows you to connect third-party point-of-sale systems and other external services. By connecting these services, you:

  • Authorize us to access and retrieve data from those services on your behalf
  • Represent that you have the right to share that data with us
  • Acknowledge that third-party services are governed by their own terms and policies

7.2 Disclaimer

We are not responsible for the availability, accuracy, or reliability of third-party integrations. Third-party services may change, become unavailable, or charge fees independently of Costli. We do not guarantee compatibility with any specific third-party service.

8. Service Availability

8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or security updates
  • Factors beyond our control (network outages, natural disasters, etc.)

8.2 Support

Support is available via email at customersupport@costli.ai. Response times vary by subscription tier. We aim to respond to all inquiries within 24 hours on business days.

9. Termination

9.1 Termination by You

You may cancel your subscription or delete your account at any time through your account settings (Settings > Data & Privacy). Upon account deletion:

  • Your data will be deleted within 30 days
  • Refunds, including any legally required exceptions, are governed by Section 4.6
  • Data required for legal or audit purposes may be retained longer

9.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use policy
  • You engage in fraudulent or illegal activity
  • Your account poses a security risk to the Service or other users
  • Required by law or legal process

For non-critical violations, we will attempt to notify you and provide an opportunity to remedy the violation before termination.

9.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ends
  • You remain liable for any outstanding fees
  • Provisions that by their nature should survive (intellectual property, limitations of liability, indemnification) will continue to apply

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all implied warranties including:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding accuracy, reliability, or completeness of the Service
  • Warranties that the Service will be error-free or uninterrupted

Cost calculations, profit margins, and other data provided by the Service are based on the information you input. We do not guarantee the accuracy of calculations or that they are suitable for tax, accounting, or regulatory compliance purposes. You should verify important figures with qualified professionals.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSTLI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from service interruptions, data loss, or security breaches
  • Damages resulting from third-party integrations or services
  • Any damages exceeding the total amount you paid us in the 12 months preceding the claim

These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Costli and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your Content or data you provide to the Service

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at legal@costli.ai and attempt to resolve the dispute informally for at least 30 days.

13.2 Arbitration Agreement

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration rather than in court, except that you may pursue claims in small claims court if eligible.

Arbitration shall be administered by a recognized arbitration organization under its applicable rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to bring or participate in class actions, collective actions, or representative actions.

13.4 Opt-Out

You may opt out of the arbitration and class action waiver provisions by notifying us in writing within 30 days of first accepting these Terms. Opt-out requests should be sent to legal@costli.ai.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent court proceedings are permitted, you consent to the exclusive jurisdiction of state and federal courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Provide at least 30 days' notice before changes take effect
  • Notify you via email or in-app notification

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Costli regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, pandemics, labor disputes, or government actions.
